Welcome to RoomPivot! These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("you," "your," "User," "Customer") and Sparktica, LLC, a Missouri limited liability company operating RoomPivot ("RoomPivot," "we," "us," "our"), governing your access to and use of our website, software, products, and services (collectively, the "Service" or "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.

1. Acceptance of Terms

By creating an account, accessing, or using RoomPivot, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization or entity to these Terms, and your agreement to these Terms will be treated as the agreement of the organization or entity.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under applicable law to use our Service. By using RoomPivot, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and complete.

3. Description of Services

RoomPivot is a Software-as-a-Service (SaaS) platform that provides AI-powered virtual staging solutions for interior designers and real estate agents. Our Services include, but are not limited to:

  • AI-generated virtual furniture staging and interior design visualization

  • Photo editing and enhancement tools

  • Team collaboration features

  • Cloud storage for projects and images

  • Commercial usage rights for generated content

  • Optional AI-generation watermarking for disclosure purposes

4. Account Registration and Security

4.1 Account Creation

To access the Services, you must create an account by providing accurate, current, and complete information. You agree to:

  • Provide truthful and accurate registration information

  • Maintain and promptly update your account information

  • Maintain the security and confidentiality of your account credentials

  • Notify us immediately at https://www.roompivot.com/contact of any unauthorized access or security breach

  • Accept responsibility for all activities that occur under your account

4.2 Account Types and Team Management

RoomPivot offers individual and team accounts. Team accounts allow multiple users to collaborate under a single subscription:

  • Admin Users: Have full access to account settings, billing management, team member management, and all Service features

  • Team Users: Have access to Service features as permitted by the Admin, but cannot modify account settings, billing information, or add/remove team members

Only Admin Users may invite or remove team members, modify subscription plans, or update billing information.

4.3 Team Member Responsibility

The primary account holder (Admin) is responsible for all activity by team members and for ensuring that all team members comply with these Terms. Usage limits and credits are pooled across the entire team account.

5. Subscription Plans and Pricing

5.1 Available Plans

RoomPivot offers the following subscription tiers:

Starter Plan: $29/month, 1 seat, 100 credits/month, 2GB storage Pro Plan: $79/month, 5 seats, 400 credits/month, 5GB storage Ultra Plan: $199/month, unlimited seats, 1,500 credits/month, 50GB storage

5.2 Free Trial

New users may access a 7-day free trial that includes 3 generations. The free trial includes commercial usage rights for any content generated during the trial period. Users that accept an invitation to an existing team upon signing up may not be eligible for a free trial. New accounts that use a previously used email address may not be eligible for the trial.

5.3 Credits

Credits are used to generate AI-powered virtual staging images. Credits are allocated monthly based on your subscription tier and do not roll over to subsequent billing periods. Unused credits expire at the end of each billing cycle. All team members share the same credit pool.

5.4 Billing and Payment

All subscriptions are billed monthly in advance. Payments are processed securely through Stripe's hosted payment flow. You authorize RoomPivot and Stripe to charge your designated payment method for all applicable fees. All fees are in U.S. Dollars unless otherwise specified. You agree to provide complete and accurate billing information and to update it promptly if it changes

5.5 Auto-Renewal

Your subscription will automatically renew at the end of each billing period for the same subscription tier unless you cancel your subscription before the renewal date. You will be charged the then-current rate for your subscription tier.

5.6 Price Changes

We reserve the right to modify our pricing at any time. Price changes will take effect at the start of your next billing cycle after we provide you with at least 30 days' advance notice. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

5.7 Late Payments

If your payment method fails or your account becomes past due, we may suspend or restrict your access to the Services until payment is received. We reserve the right to terminate your account for non-payment.

5.8 Taxes

Fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for paying all such taxes associated with your use of the Services, except for taxes based on our net income.

6. Refund Policy

6.1 Initial Subscription Refund

We offer a full refund for your first subscription payment if requested within 14 days of your initial subscription date (not including the free trial period). To request a refund, contact us at https://www.roompivot.com/contact with your account information and reason for the refund request.

6.2 No Refunds After Initial Period

After the initial 14-day refund period, all subscription fees are non-refundable. This includes but is not limited to:

  • Partial month refunds for mid-cycle cancellations

  • Unused credits or storage

  • Downgrades to lower-tier plans

  • Voluntary cancellations

6.3 Refund Processing

Approved refunds will be processed within 10 business days and will be issued to the original payment method used for the purchase.

7. User Content and Intellectual Property Rights

7.1 Definitions

  • "Input" means any text, images, prompts, photographs, or other content you upload, submit, or provide to the Services

  • "Output" means any images, visualizations, or other content generated and returned by the Services based on your Input

  • "User Content" means all Input and Output collectively

7.2 Ownership of User Content

As between you and RoomPivot, you retain all ownership rights in your Input and Output, subject to the rights granted to us in these Terms. You are solely responsible for your User Content and the consequences of posting or publishing it.

7.3 Rights You Grant to Us

By submitting Input to the Services, you grant RoomPivot a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display your Input solely for the purposes of:

  • Providing and operating the Services

  • Generating Output for you

  • Maintaining, improving, and securing the Services

We will not use your User Content for training AI models or for marketing purposes without your explicit consent.

7.4 Your Rights to Output

Subject to your compliance with these Terms and payment of applicable fees, you own all Output generated through the Services. You are granted a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, modify, distribute, publicly display, and create derivative works from the Output for any lawful purpose, including commercial use.

7.5 No Attribution Required

You are not required to provide attribution to RoomPivot when using Output, though we appreciate credit when appropriate.

7.6 Non-Uniqueness of Output

Due to the nature of machine learning and AI technology, Output may not be unique. RoomPivot may generate identical or similar output for other users who provide similar or identical inputs. You acknowledge that you have no exclusive rights to any particular Output and that similar or identical content may be generated for other users.

7.7 Your Representations and Warranties Regarding Input

You represent and warrant that:

  • You own or have obtained all necessary rights, licenses, consents, and permissions to upload and use your Input

  • Your Input does not infringe, violate, or misappropriate any third party's intellectual property rights, rights of privacy or publicity, or any other rights

  • You have obtained all necessary permissions, releases, and consents from any individuals depicted in photographs or images you upload

  • Your Input complies with all applicable laws and regulations

7.8 RoomPivot Intellectual Property

The Services, including all software, algorithms, technology, user interface, design, trademarks, logos, and other materials provided by RoomPivot (excluding User Content), are owned by or licensed to RoomPivot and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely as permitted by these Terms.

8. Acceptable Use and Prohibited Conduct

8.1 General Prohibitions

You agree not to use the Services to:

  • Violate any applicable local, state, national, or international law or regulation

  • Infringe upon or violate the intellectual property rights, privacy rights, publicity rights, or other legal rights of others

  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

  • Upload images containing minors without proper authorization and lawful purpose

  • Upload, transmit, or distribute viruses, malware, or any other malicious code

  • Attempt to gain unauthorized access to the Services, other user accounts, or computer systems or networks

  • Interfere with or disrupt the integrity or performance of the Services

  • Use automated systems (bots, scrapers, etc.) to access the Services without our prior written permission

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services

  • Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices

  • Use the Services to create content that violates the rights of any third party

  • Resell, sublicense, or redistribute the Services without our express written permission

  • Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks

8.2 Image Rights and Compliance

You specifically agree to:

  • Only upload images for which you have the necessary rights, licenses, or permissions

  • Comply with all applicable real estate industry regulations, including Multiple Listing Service (MLS) rules

  • Exercise ethical business and advertising practices when using AI-generated images

  • Make proper disclosures when required that images have been virtually staged or are AI-generated

  • Utilize the optional AI-generation watermark feature when appropriate or required by law or industry standards

  • Not misrepresent AI-generated images as actual photographs of physical spaces

8.3 Professional Responsibility

As a professional user of virtual staging services, you acknowledge that you are responsible for:

  • Ensuring compliance with all advertising and fair housing laws

  • Making appropriate disclosures to clients and consumers about the nature of virtually staged images

  • Verifying that your use of AI-generated images complies with your professional licensing requirements

  • Obtaining necessary permissions from property owners before creating or distributing virtual staging images

8.4 Enforcement

We reserve the right, but have no obligation, to monitor User Content and use of the Services. We may remove or disable access to any User Content or suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.

9. Data Storage, Retention, and Deletion

9.1 Data Storage

Your projects and generated images are stored securely on our cloud infrastructure. Storage capacity is determined by your subscription tier.

9.2 Data Retention

While you maintain an active subscription, your User Content will be retained indefinitely unless you choose to delete it.

9.3 User-Initiated Deletion

You may delete any of your projects or images at any time through the Services interface. Deleted projects are moved to a trash folder where they remain for 48 hours. During this 48-hour period, you may restore deleted items. After 48 hours, or upon manual deletion from the trash folder, the content is permanently deleted.

9.4 Data Upon Cancellation or Termination

Upon cancellation or termination of your subscription:

  • You will retain access to the Services until the end of your current billing period

  • After your subscription ends, you will have 30 days of read-only access to view and download your projects and images

  • After the 30-day grace period, your User Content may be permanently deleted from our systems

  • We strongly recommend downloading all content you wish to retain before the end of the grace period

9.5 No Guarantee of Data Availability

While we implement industry-standard security measures and backup procedures, we do not guarantee that User Content will always be available or recoverable. You are solely responsible for maintaining your own backups of any critical content.

10. Privacy and Data Security

10.1 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at https://www.roompivot.com/privacy. By using the Services, you consent to the practices described in our Privacy Policy.

10.2 Data Security

We implement commercially reasonable technical and organizational measures to protect User Content and personal information from unauthorized access, use, or disclosure. However, no system is completely secure, and we cannot guarantee the absolute security of your data.

10.3 Data Breaches

In the event of a data breach that affects your personal information or User Content, we will notify you in accordance with applicable law and provide information about the breach and steps you can take to protect yourself.

11. Third-Party Services

11.1 Payment Processing

We use Stripe, a third-party payment processor, to process subscription payments. Your payment information is transmitted directly to Stripe and is subject to Stripe's terms of service and privacy policy. We do not store your complete credit card information on our servers.

11.2 Third-Party Integrations

The Services may integrate with or contain links to third-party websites, applications, or services. We are not responsible for the content, accuracy, or practices of any third-party services. Your use of third-party services is subject to their respective terms and policies.

14. Support and Service Availability

14.1 Customer Support

We provide customer support through multiple channels including email, chat, call, and our help center. Support availability and response times may vary based on your subscription tier. We will make commercially reasonable efforts to respond to support inquiries, but we do not guarantee any specific response times or resolution timeframes.

14.2 Service Availability

While we strive to provide uninterrupted access to the Services, we do not guarantee that the Services will be available at all times or that they will be error-free. The Services may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

14.3 Maintenance and Updates

We may perform scheduled or emergency maintenance that temporarily interrupts access to the Services. We will make reasonable efforts to provide advance notice of scheduled maintenance when practicable.

14.4 No Service Level Agreement

Unless specifically provided in a separate Enterprise agreement, we do not provide any service level agreement (SLA) or uptime guarantees. The Services are provided on an "as is" and "as available" basis.

15. Modifications to the Services and Terms

15.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

15.2 Terms Modifications

We may modify these Terms at any time by posting the revised Terms on our website and updating the "Last Updated" date. Material changes will be communicated to you via email or through a prominent notice on the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Services and cancel your subscription.

16. Cancellation and Termination

16.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will not be charged for subsequent billing periods

  • You will retain access to the Services until the end of your current billing period

  • After your billing period ends, you will have 30 days to view and download your content

  • No refunds will be provided for the unused portion of your subscription (except as specified in Section 6)

16.2 Termination by RoomPivot

We reserve the right to suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms

  • Non-payment of fees

  • Fraudulent, abusive, or illegal activity

  • Activities that harm or could harm RoomPivot, the Services, or other users

  • Upon your request

  • For any other reason at our sole discretion

16.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Services immediately ceases

  • All licenses granted to you under these Terms will terminate

  • You remain liable for all fees and charges incurred prior to termination

  • Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions

16.4 Data Access Post-Termination

As described in Section 9.4, you will have 30 days after your subscription ends to download your content. After this period, we may permanently delete your User Content and you will have no further access to it.

17. Disclaimers and Warranties

17.1 "AS IS" and "AS AVAILABLE" Basis

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RoomPivot DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS WARRANTIES REGARDING THE ACCURACY, RELIABILITY, QUALITY, OR COMPLETENESS OF ANY CONTENT OR OUTPUT WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SERVICES

17.2 Output Quality and Suitability

RoomPivot makes no representations or warranties regarding:

  • The quality, accuracy, or realism of AI-generated Output

  • The suitability of Output for any particular purpose

  • Whether Output will meet your requirements or expectations

  • Whether Output will comply with any specific industry standards or regulations

You are solely responsible for evaluating the appropriateness and quality of Output for your specific use case.

17.3 Third-Party Content

We disclaim all responsibility and liability for third-party content, services, or websites accessed through or integrated with the Services.

17.4 No Professional Advice

The Services are not intended to provide and do not constitute legal, financial, real estate, or professional advice. You should consult with appropriate professionals regarding your specific situation and obligations.

18. Limitation of Liability

18.1 Exclusion of Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RoomPivot, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES BUSINESS INTERRUPTION

  • LOSS OR CORRUPTION OF DATA OR USER CONTENT

  • COST OF PROCUREMENT OF SUBSTITUTE SERVICES

  • PERSONAL OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICES

  • ANY DAMAGES ARISING FROM ERRORS, MISTAKES, OR INACCURACIES IN OUTPUT

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF RoomPivot HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RoomPivot's TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO RoomPivot IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

18.3 Basis of the Bargain

YOU ACKNOWLEDGE AND AGREE THAT THESE LIMITATIONS OF LIABILITY ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND RoomPivot, AND RoomPivot WOULD NOT BE ABLE TO PROVIDE THE SERVICES ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

18.4 Exceptions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

19. Indemnification

19.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless RoomPivot, Sparktica, LLC, and their respective affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Services

  • Your User Content, including any claims that your Input infringes or violates any third party's intellectual property rights or other rights

  • Your violation of these Terms

  • Your violation of any applicable laws or regulations

  • Your violation of any third party's rights, including intellectual property rights, privacy rights, or publicity rights

  • Any claims brought by team members you have invited to use the Services

  • Your representations or warranties regarding your right to use images you upload

19.2 Indemnification Process

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You will not settle any claim that affects RoomPivot without our prior written consent.

20. Dispute Resolution and Arbitration

20.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles.

20.2 Informal Negotiation Requirement

Before initiating any formal dispute resolution proceeding, you agree to first contact us at https://www.roompivot.com/contact and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or RoomPivot may initiate arbitration as described below.

20.3 Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiation, the dispute (except for disputes expressly excluded below) shall be finally and exclusively resolved by binding arbitration. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, if applicable, the AAA's Consumer Arbitration Rules (collectively, "AAA Rules"), as modified by this Agreement.

Arbitration Process:

The arbitration will be conducted in Missouri unless the parties agree otherwise The arbitration may be conducted in person, through the submission of documents, by phone, or online The arbitrator will decide the substance of all claims in accordance with the laws of the State of Missouri The arbitrator can award the same damages and relief as a court, including attorneys' fees when authorized by law The arbitrator's decision is final and binding, except for any right of appeal provided by the Federal Arbitration Act

Costs:

Each party shall bear their own costs and attorneys' fees unless the arbitrator determines otherwise pursuant to applicable law The AAA rules will govern payment of all arbitration fees

One Arbitration at a Time:

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action

20.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Additionally, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

20.5 CLASS ACTION WAIVER

YOU AND RoomPivot AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND RoomPivot AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE, CONSOLIDATED, OR CLASS PROCEEDING.

20.6 Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND RoomPivot WAIVE ANY RIGHT TO A JURY TRIAL OF ANY CLAIM OR CAUSE OF ACTION BASED UPON OR ARISING OUT OF THESE TERMS OR THE SERVICES.

20.7 Opt-Out of Arbitration

You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice of your decision to opt out to https://www.roompivot.com/contact. The notice must include your name, address, email address associated with your account, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, all other terms of this Agreement will continue to apply, and any disputes will be resolved in accordance with Section 19.8 below.

20.8 Jurisdiction and Venue

If the arbitration agreement in Section 19.3 is found to be unenforceable, or if you have validly opted out, you agree that any judicial proceeding shall be brought exclusively in the state or federal courts located in Missouri. Both parties consent to the jurisdiction and venue of such courts and waive any objection as to inconvenient forum.

20.9 Severability

If any provision of this dispute resolution section is found to be unenforceable, the remainder shall remain in full force and effect. If the Class Action Waiver is found to be unenforceable, the entire arbitration agreement (but not the remainder of these Terms) shall be null and void.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and RoomPivot regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.

21.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21.3 Severability
